Governance Concern
Board Composition Not Compliant With the Bylaws

Association bylaws recorded in both 2002 and 2024 specify a six-director board.
 
However, Annual Reports and meeting minutes reviewed to date reflect governance structures ranging from seven to eight directors over multiple years.
 
At this time, no records reviewed have identified a documented amendment or authorization changing the six-director structure stated in the bylaws.

2002 Bylaws

The Association bylaws recorded on May 31, 2002 state that the Board of Directors shall consist of six (6) directors.

2021 Annual Report

The 2021 Annual Report, filed with the Michigan Department of Licensing and Regulatory Affairs on October 14, 2021, lists seven (7) directors.

A comparison between the 2021 Annual Report and the 2023 meeting minutes shows that the same governance individuals generally continued forward from the 2021/2022 filings into the 2023 minutes. However, the 2023 minutes also introduce Cindy Halamar as an additional board member not identified in the 2021 Annual Report.

2023 Annual Report

The 2023 Annual Report, filed on May 1, 2024, again certified that no changes had occurred in the required information since the prior filing.

Because the 2023 filing likewise reported no changes, the same previously reported governance structure continued into 2024.

Why This Matters

A board’s structure matters because the bylaws define how the Association is authorized to operate.

The bylaws recorded in both 2002 and 2024 state that the Board of Directors shall consist of six (6) directors. Those bylaws establish the governance framework for how the Association conducts business, holds meetings, establishes quorum, and authorizes corporate actions.

The records reviewed to date reflect governance structures ranging from seven to eight governance members/positions over multiple years. Annual Reports filed with LARA and Association meeting minutes appear to reflect governance structures that exceed the six-director structure stated in the bylaws.

This matters because board composition can directly affect:

  • whether meetings were properly constituted
  • whether quorum requirements were properly met
  • whether votes were properly authorized
  • whether governance actions were valid
  • whether amendments and restrictions were properly approved
  • whether corporate filings accurately reflected the Association’s governance structure

Current State

The Pinnacle Estates Association Board of Directors appears to be constructed in a manner that is in direct conflict with our Bylaws.

Meeting minutes, annual reports, and association bylaws have been made available through this website so members and interested parties can review and compare the records directly.

Questions regarding the association’s governance structure and annual report filings have been submitted to Michigan Department of Licensing and Regulatory Affairs for review.

It is undetermined how many directors the HOA plans to elect on June 6th.
